CPD Seminar of ICSB on ‘National Budget 2017-18 and Finance Act, 2017’

ICSB organized a CPD Seminar on ‘National Budget 2017-18 and Finance Act, 2017’ on August 5, 2017 at Hotel Purbani International, Dhaka.

Mr. M A Mannan, MP, Hon’ble State Minister of Finance and Planning, Govt. of Bangladesh graced the occasion as the Chief Guest while Barrister Jahangir Hossain, Member (VAT Policy)  and Mr. Parvez Iqbal, Member (TAX Policy), NBR  graced the occasion as Special Guests. The Keynote Paper was presented by Mr. Sadhan Chandra Das FCA, FCS, Partner, Sadhan Das & Co. Chartered Accountants. Mr. Mohammad Asad Ullah FCS, Chairman, Professional Development Sub- Committee, Immediate Past President and Council Member of ICSB presided over CPD Seminar, delivered the address of welcome and summed up the session.

 Mr. Mohammad Sanaullah FCS, President of ICSB in his speech mentioned that since, the Members of ICSB are professionally fit to practice as ITPs, the National Board of Revenue (NBR) should make necessary amendments to the Section 174(2) (e) of Income Tax Ordinance, 1984 and Rule 37 of Income Tax Rules, 1984. He also mentioned that the Members of ICSB are professionally fit to practice as Mushak (VAT) Agents and necessary amendments should also be made to the Value Added Tax and Supplementary Duty Rules, 2016 so that the Chartered Secretary professionals could make significant contribution to the national economy.

Mr. Mohammad Asad Ullah FCS, Chairman, Professional Development Sub- Committee, Immediate Past President and Council Member of ICSB said that he would sincerely expect that the Hon’ble State Minister of Finance and Planning and Members of NBR will take necessary positive steps to include our members and profession as ITP and Mushak Agent in the Income Tax Ordinance and VAT law by issuing necessary SRO(s). He also urged upon the NBR to reduce the highest ceiling of the individual tax rate from 30% to 25% and exempt the surcharge on the individual assets. For achieving the target Tax and VAT fixed by the Govt. NBR should undertake all effective measures to extend its Tax and VAT net and bring minimum 10% of the total population under Tax and VAT net by 2041.

The Chief Guest Mr. M A Mannan, MP appreciated the profession of Chartered Secretaries who are working to ensure good governance in the corporate sector and assured that he will take all out measures to include the profession of Chartered Secretary as Income Tax Practitioner (ITP) and Mushak Agent who can provide services to their clients professionally.

Special Guest Barrister Jahangir Hossain Member (VAT Policy) also assured to look into the issue positively.

Mr. Parvez Iqbal Member (Tax Policy), NBR assured to take all out efforts to include the profession of Chartered Secretary as Income Tax Practitioner (ITP).

A large number of Professionals, Qualified Chartered Secretaries and Corporate Executives from the leading corporate houses of Bangladesh will also attend the programme.

ICSB CPD Seminar Held on “”One Stop Service Act 2017 (proposed) initiated by BIDA

“Institute of Chartered Secretaries of Bangladesh (ICSB) organized a Continuing Professional Development (CPD) seminar on “”One Stop Service Act 2017 (proposed)” initiated by Bangladesh Investment Development Authority (BIDA) on Saturday, April 29, 2017 at the Dilkusha Hall of Hotel Purbani International, Dilkusha C/A, Dhaka.

Mohammad Asad Ullah FCS, Chairman, Professional Development Sub Committee presided the Seminar and summed up the whole session. He congratulated the Govt. of Sheikh Hasina, timely reviewed the scenario and decided to reform the BOI substantially and establish a high power investment authority in the name and style: Bangladesh Investment Development Authority (BIDA) and to create momentum in the economy she directed to merge the Privatization Board with BIDA. He further told that Govt. should form a taskforce to cut cost of business to ease doing business and facilitate trade through addressing problems on businesses and to remove complexities in business level. Concerned Ministries, Chambers and trade Associations and business leaders should be the Members of the Task Force under the leadership of BIDA. To monitor the FDI, they should hold meeting every month. He advised that specialized professionals should be appointed by BIDA to provide one stop service to the investors; He also emphasized on lessening the hassle of foreign investors and provide best possible environments for them.

Kazi M. Aminul Islam, Executive Chairman of Bangladesh Investment Development Authority (BIDA) attended the Seminar as the Chief Guest. He said that the proposed Act is going to be enacted soon. The present government has taken some rigorous initiatives to excel the foreign investment in Bangladesh.  This act is one of those steps and we are confident that this act will ease the foreign investment process to gain the vision 2021 set by the Prime Minister Sheikh Hasina. He also expressed that Professional Institute like ICSB should come forward and share their views regarding the development process of the Country. He also mentioned that some of the recommendation made by the Members of ICSB will be taken into consideration before finalizing the One Stop Service Act 2017.

Ajit Kumar Paul FCA, Executive Member and Secretary of BIDA attended the Seminar as Special Guest. He said that Bangladesh is on the path of development and every day we are heading towards. In this 21st century no one can develop alone. We need the foreign investment and to make the country as a lucrative investment destination our acts should be amended. More importantly, the system should more investor friendly so that they get more benefit with their investment. It is not the task of BIDA only, however, all the concerned should come forward and work in line with the plan of present government.

The Keynote Paper was presented by Tauhidur Rahman Khan, Director, BIDA, who explained its salient features and implementation procedures. In his paper, Mr. Khan mentioned that the BIDA OSS initiative is to house 17 Ministries/Departments of the Govt. under an umbrella aiming to easing foreign investments in the country thus to augment the economic development of the nation.

Official Discussant of the session was Dr. Feroz Iqbal Faruqe FCS, former Vice President of the Institute and Md. Azizur Rahman FCS, Council Member ICSB. They gave valuable inputs in their discussion.

Mohammad Sanaullah FCS, the President of the Institute was present as the guest of Honour. In his Speech, he emphasized on the role of Company Secretaries in good governance in attracting foreign direct investment. They can play the pivotal role to grow the confidence of the investors. In most cases, Bangladesh is advancing forward and to institutionalize the process, he further inspired the Chartered Secretary Professionals to apply their knowledge and experience more effectively. He urged to the Chairman of BIDA to include the clause of mandatory appointment of Chartered Secretary in the firms with foreign investments so that they can ensure the compliance with the rules and regulations of Bangladesh.

A lively question answer session was held at the later part of the Seminar while the BIDA Officials answered different questions of the participants.

The Programme was attended by a large number of Members of the Institute who are working in different listed companies of the country and Corporate Leaders were also present on the Occasion.

Orientation Programme of 38th Batch of Chartered Secretary Course of ICSB Held

Institute of Chartered Secretaries of Bangladesh (ICSB) organized an Orientation Programme for the students of 38th Batch of Chartered Secretary Course at ICSB Campus, Padma Life Tower (7th Floor), 115, Kazi Nazrul Islam Avenue, Bangla Motor, Dhaka on August 06, 2016. Mohammad Asad Ullah, FCS, President of the Institute formally inaugurated the Programme.

Welcoming the newly enrolled students of Chartered Secretary Course, Mohammad Asad Ullah FCS, appreciated them for their decision to enroll themselves in ICSB. In his speech, he mentioned that Chartered Secretary profession is now a challenging and rewarding profession in Corporate Management sector and there is a wide range of professional scope both at home and abroad. He further added that unlike other professionals, Chartered Secretary profession has a deficit of professionals, as there are more than 1.5 lakh companies registered in Registrar of Joint Stock Companies (RJSC) and all the listed companies, according to the BSEC Corporate Governance guidelines, require to have Company Secretaries.

M. Naseemul Hye FCS, Sr. Vice President and Chairman Examination Committee delivered address of welcome and shared his experience as a student of 1st Batch of Chartered Secretary Course in ICSB. He advised the students to be punctual and attentive in the classes.

The Chairman of the Education Committee of ICSB, Mr. Shahid Farooqui FCS briefed the newly enrolled students about the courses and cultures of ICSB. He further emphasized on the importance regular attendance, punctuality and hard work.

In the later part of the Programme, there was a question & answer session, wherein the queries of newly enrolled students on Chartered Secretary Course and relevant professional issues were lucidly answered. About 130 students of this batch attended the Programme with enthusiasm.

Institute of Chartered Secretaries of Bangladesh (ICSB) organized a Continuing Professional Development (CPD) Programme on “An Overview of New Value Added Tax (VAT) Act” on Saturday, April 30, 2016 at the Institute premises at Padma Life Tower (7th Floor) 115 Kazi Nazrul Islam Avenue, Bangla Motor, Dhaka-1000.

Dr. Md. Abdur Rouf, Additional Director General, Bangladesh Customs Excise and VAT Training Academy, Chittagong presented the Keynote Paper, while Mohammad Sanaullah FCS, Immediate Past President, ICSB and Corporate Affairs Director & Company Secretary, Singer Bangladesh Ltd was the Session Chairman. Md. Monirul Alam FCS Vice President of the Institute offered Vote of Thanks at the end of the session.

Dr. Md. Abdur Rouf in his presentation highlighted the distinctions between the current Value Added Tax (VAT) Act and the New Value Added Tax (VAT) Act in details to educate the participants about different features of the new Act. He also mentioned the background of this new Act while focusing on the implementation stages of the New Value Added Tax (VAT) Act- 2016 with importance on the ICT based facilities for the stakeholders

Official Discussant of the session was Dr. Mohammad Abu Yusuf, Customs Specialist, (Deputy Secretary to the Government of Bangladesh), USAID BTFA Project, Dhaka. He further explained different traits which are included in the New Value Added Tax (VAT) Act.

Thereafter, qualitative and fruitful discussions were held during a question-answer session between the participating Members of the Institute and the Keynote Presenter.

Mr. Safiar Rahman FCS Deputy Managing Director & Company Secretary, Eastern Bank Limited presented the Keynote Paper, while Mohammad Sanaullah FCS, Immediate Past President, ICSB and Corporate Affairs Director & Company Secretary, Singer Bangladesh Ltd was the Session Chairman. Mohammad Asad Ullah FCS graced the occasion as the President of the Institute and formally inaugurated the programme.

Mr. Safiar Rahman in his presentation highlighted on the role & responsibilities of Company Secretaries in Banking and Non-Banking Financial Institutions of Bangladesh. He mentioned about different crucial roles played by a Company Secretary in respect of Strategic Management, Administrative Control, Advisory Role, Core Coordination and Compliance Maintenance.

ICSB CPD Program held on Corporate Governance Practice in Bangladesh

Institute of Chartered Secretaries of Bangladesh (ICSB) organized a Continuing Professional Development (CPD) Program on “Corporate Governance Practice in Bangladesh” on Wednesday, December 30, 2015 at the Institute Premises at Padma Life Tower (7th Floor) 115 Kazi Nazrul Islam Avenue, Bangla Motor, Dhaka-1000. A large number of Members of ICSB participated in this programme.

Mohammad Sanaullah FCS, Immediate Past President, ICSB and Corporate Affairs Director & Company Secretary, Singer Bangladesh Ltd. presented the Keynote Paper, while Prof. Md. Helal Uddin Nizami, Commissioner, Bangladesh Securities & Exchange Commission (BSEC) was the Session Chairman. Mohammad Asad Ullah FCS President of the Institute was also present.

Mr. Sanaullah in his presentation highlighted on some important features of global best practices of corporate governance, while he also reviewed the existing guidelines of corporate governance along with comparison. He mentioned that corporate governance is the system by which companies are directed, managed and encouraged to create value and provide accountability and control systems commensurate with the risks involved. Mr. Sanaullah produced very timely recommendations in the eve of the third edition of the corporate governance the country is supposed to have. On his recommendations, Mr. Sanaullah urged brining necessary modifications in the guidelines taking into account the global best practices and the practices of neighboring country. Among others, he highlighted on board composition including non-executive chairman, more independent directors, code of conduct, nomination and remuneration committee, evaluation and induction of directors, whistle blowing policy, apply secretarial standards, separating the position of CFO and company secretary, appointing key managerial personnel etc.

Official Discussants were Mr. Md. Azizur Rahman FCS, Company Secretary, British American Tobacco (Bangladesh) Co. Ltd. Mr. Hossain Sadat FCS, Director, Regulatory Affairs & Company Secretary, Grameenphone Ltd.

Thereafter qualitative and fruitful discussions were held during a question-answer session between the participating Members of the Institute and the Keynote Presenter.

Prof. Md. Helal Uddin Nizami as Session Chairman moderated and summed up the whole session.  He said the BSEC would like to establish a sound corporate governance practice in the country. He also pointed out that the Commission has taken initiative to update the present Corporate Governance Guidelines. In this respect the outcome and recommendations of the CPD program will be very much helpful.

He highly appreciated the Institute for arranging such an important topic in the CPD program. The Programme was attended by a large number of members of the Institute who are working in different listed companies of the country

Institute of Chartered Secretaries of Bangladesh (ICSB) organized a Continuing Professional Development (CPD) Program on ‘Chartered Secretaries in Practice’ on Thursday, November 26, 2015 at the Institute Premises at Padma Life Tower (7th Floor) 115 Kazi Nazrul Islam Avenue, Bangla Motor, Dhaka-1000.

Mr. A.K.A. Muqtadir FCS, Past President, ICSB and Chief Consultant, Al-Muqtadir Associates, Chartered Secretaries & Consultants presented the Keynote Paper and gave a brief outline of the Chartered Secretaries in Practice in Bangladesh. Mohammad Sanaullah FCS, Immediate Past President and Chairman, Professional Development Committee, ICSB was the Session Chairman.

Mr. Muqtadir in his presentation highlighted the nature and scope of private practice as Chartered Secretaries and focused on the diverse challenges associated it. He also underscored the need for necessary linkage of the practicing profession of Chartered Secretaries with other important Laws namely: the Companies Act, BSEC Rules, Stock Exchanges Regulations, Tax and other Laws etc. for further and sustainable development in whole of the profession of Chartered Secretaries.

Mr. Itrat Husain FCS, Past President & Chief Executive, Itrat Husain & Associates and Mr. S. Abdur Rashid FCS, of SA Rashid & Associates were the discussants. They highlighted the on-field stresses that hinder the growth of the practicing profession and suggested initiatives necessary for uplift of future prospects of Chartered Secretaries in practice.

The program witnessed a very lively inter-active discussion by the packed house participants representing a cross section of listed and non-listed companies and members of the Institute. Mr.Mohammad Sanaullah FCS,as Session Chairman moderated and summed up the whole session.

Professor Dr. Swapan Kumar Bala FCMA, Managing Director, Dhaka Stock Exchange Limited presented the Keynote Paper and gave a brief outline of the new regulations for listing companies of Bangladesh. Mohammad Sanaullah FCS, Director and Company Secretary, Singer Bangladesh Limited and also the Immediate Past President and Chairman, Professional Development Committee of ICSB was the session chairman while Mohammad Asad Ullah FCS, graced the occasion as the President of the Institute.

Mr. Bala in his presentation highlighted on the major features of the listing regulations, 2015  of Dhaka Stock Exchange that  includes  Listing of Securities, Undertakings, Direct Listing, Post Listing,  Continuous Compliances, Listing And Annual Fees, Halt, Suspension And De-Listing , Inspection and  Miscellaneous issues of the new listing regulations, 2015.

Mohammad Asad Ullah FCS, the President of the Institute shared his views on the keynote presentation and also discussed on various aspects of “Dhaka Stock Exchange (Listing) Regulations, 2015”. He highly appreciated Professional Development Committee of the Institute for arranging such a timely important workshop for the development of professional knowledge of its members.

Thereafter qualitative and fruitful open discussions were held during a question-answer session between the participating Members of the Institute and the Keynote Presenter. Mohammad Sanaullah FCS, as Session Chairman moderated and summed up the whole session.

Institute of Chartered Secretaries of Bangladesh (ICSB) has organized a Continuing Professional Development (CPD) Program on “The Finance Act-2015” on Thursday, July 30, 2015 at the Institute Premises at Padma Life Tower (7th Floor) 115 Kazi Nazrul Islam Avenue, Bangla Motor, Dhaka-1000. A large number of Members of ICSB participated in this programme.

Sadhan Chandra Das, FCA, FCS, Partner, Sadhan Das & Co. Chartered Accountants presented the Keynote Paper. Mohammad Sanaullah FCS, Director and Company Secretary, Singer Bangladesh Limited and also Immediate Past President and Chairman, Professional Development Sub Committee of ICSB was the session chairman. Mohammad Asad Ullah FCS, graced the occasion as the President of the Institute.

Mr. Das in his presentation highlighted on the major features of the “The Finance Act-2015” that includes changes in Income Tax Ordinance, 1984 such as individual tax rate, re-structure in the slab of wealth for imposing surcharge on individual tax payers, basic salary and bonus received by Govt. employees as well as the insertion of two new sections: prosecution punishment for submitting fake audit report, punishment for unauthorized employment of foreign nationals.

Mohammad Asad Ullah FCS, the President of the Institute shared views on the keynote presentation and also discussed on various aspects of “The Finance Act-2015”. He highly appreciated the Institute for arranging such a timely important workshop for the development of its members.
